Mergers and Combinations

Our credentials and capabilities in law firm mergers and combinations are extensive. We have worked on a variety of combination and/or merger assignments – at all points in the merger process. Importantly, we have uniquely defined the “four stages of a successful merger” (identification and preliminary discussions, new firm concept development, detailed due diligence and final closing, and integration) ensuring that the merger process can be effectively managed and controlled.

We serve individual merger partners or can serve as overall management counsel to “the deal.” We take a position as advisors to this process and we do not charge, nor expect, a success fee.

Our services on any given combination project can be extensive – running the gamut from candidate identification through full integration. In these more extensive engagements we provide management counsel throughout the overall merger process, identify genuine synergies between potential merger partners, assist with due diligence, and help the resulting combined firm to agree on a new vision, strategy, and integration plan.

In other cases our services are more limited and tailored to meet the specific needs of our clients such as developing merger criteria, searching for attractive merger candidates and making initial contacts. We sometimes serve as the devil’s advocate to deals already structured, but not yet completed. We may be involved in advising on integration issues for a merger that has already been completed. Or, we may be involved in advising on integration issues for a merger that has already been completed.

Practice Group Management

We have wide ranging expertise in achieving improved practice group management – something that is absolutely critical to major law firms as they grow in a continually evolving legal marketplace.

We provide assistance in practice group planning (strategic and operational planning), organization and practice group structure development, management system and process development, practice based budgeting system development, and in helping practice groups make effective use of management information and reports.

In addition, we provide effective, tailored practice group leader training and development both in a seminar environment and on a customized basis, for individual firms.


Strategic Management Issue Resolution

Strategic management issue resolution is the fourth area of our law firm practice. As strategic management advisors to our law firm clients, we are often called upon to provide management counsel in addressing and resolving specific management issues. Among the many specific issues we have helped firms to address and resolve are: making improvements to partner compensation systems; restructuring both service delivery and administrative organizations, conducting management audits of particular functional areas (such as firm marketing departments); and providing management counsel on a variety of strategic issues facing the management or executive committees of our law firm clients.
